The Registered Office of British-American Tobacco Co., (China) Ltd. will be transferred to Hongkong.

The management and control of the Company's Business will

be removed from Shanghai to Hongkong, and for this purpose the Directors at present resident in Shanghai (or the majority of such as continue Directors of the Company) will go to reside in Hongkong, and the Meetings of the Board will be held there.

The Managing Director and the majority of Directors taking active part in the control of the business as a whole will be resident in Hongkong, in fact, the whole Management and control of the business es it at present exists in Shanghai will be removed to Hongkong.

The Company's business in China will be conducted from long- king on the same lines as it is at present conducted from Shanghai, that is to say, the leaf growing and purchasing part of the busi- ness will be carried on under Departmental Managers 1oosted in the various leaf buying districts. The manufacturing and print- ing part of the business will be carried on at the various factories each under the control of a Factory Manager, and the selling part of the business will be carried on by about five Departmental Managers each in charge of a particular section of the country. Each of all these Factory and Departmental Managers will be directly responsible to the Management of the business in Hongkong in the same way as they are at present responsible to the Management at Shanghai. In the ordinary course of events some of these Departmental Managers will be British and some not. In order to comply with the provisions of the Order-In- Council of 1913 and 1914 as to Consulab Registration of Companies incorporated in the United Kingdom or in any British possession
